Terms of Service

1. Legal Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and LoadFlow Logistics LLC, a Wyoming limited liability company ("LoadFlow", "we", "us", or "our"), governing your access to and use of the LoadFlow OSOW API and all related services, products, websites, and software offered by LoadFlow (collectively, the "Service").

By creating an account, using the Service, or accessing any LoadFlow platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any applicable documentation or service-level agreements (SLAs). If you do not agree to all terms and conditions, you must not use the Service.

2. Definitions

"Account" means a registered user profile with an associated email, password, API key(s), and billing history.

"API" refers to the LoadFlow OSOW (Oversize/Overweight) Application Programming Interface, including all current and future endpoints, responses, and associated documentation.

"Data" means structured and unstructured content, including but not limited to state regulations, routing guidelines, permitting workflows, and metadata returned by the API.

"Content" refers to all intellectual property provided through the Service, including software, code, documentation, design, branding, and datasets.

"Subscription Plan" means any paid or free service tier with defined access limits, usage caps, pricing terms, and entitlements, as published by LoadFlow and managed through Stripe or other processors.

"You" / "User" means any individual, organization, or automated agent who accesses the Service, whether as a trial user, subscriber, tester, integrator, or downstream client.

Additional definitions may be introduced throughout these Terms where applicable.

3. Eligibility & Account Requirements

To use the Service, you must be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher. By registering an account or accessing the API, you represent and warrant that:

  • You have the legal capacity and authority to enter into these Terms;
  • All information provided during registration is accurate, complete, and current;
  • If you are using the Service on behalf of a business, entity, or organization, you are authorized to bind such party to these Terms;
  • You are not located in a country that is subject to U.S. export restrictions or sanctions, nor are you listed on any U.S. government restricted party list;
  • You are not using the Service for any unlawful purpose or in violation of any applicable local, state, federal, or international law.

LoadFlow reserves the right to suspend or terminate access to any account that fails to meet eligibility criteria or is found to contain falsified registration data.

4. User Responsibilities

As a user of the Service, you agree to use the API and related features responsibly, ethically, and in full compliance with these Terms. You further agree that you are solely responsible for:

  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and API keys. You must not share your login or key(s) with any unauthorized parties. You agree to notify LoadFlow immediately upon discovering any unauthorized use, security breach, or suspected compromise of your credentials.
  • Lawful Use: You agree to use the Service only for lawful purposes and in accordance with all applicable laws, rules, and regulations. You must not use the API in any way that promotes or facilitates fraud, deception, harassment, abuse, or regulatory evasion.
  • Authorized Access: You will not allow others to use your account or access your subscription without proper authorization. If your subscription is designed for single-user or per-seat access, you must not share access or repackage services downstream.
  • Use Monitoring: You acknowledge and consent to LoadFlow logging certain API usage data (such as IP address, request type, timestamp, and key ID) to ensure service integrity, detect abuse, and enforce rate limits.
  • Internal API Key Management: If you are integrating LoadFlow into internal software, you must manage key access securely — such as by avoiding embedding secrets in public repositories, browser code, or frontend JavaScript.
  • Third-Party Access: If you authorize contractors, employees, or other third parties to use the Service on your behalf, you accept full liability for their actions under your account.

Violation of any of the above responsibilities may result in immediate suspension or termination of your account, without refund, at LoadFlow's sole discretion.

5. Acceptable Use Policy

You agree not to misuse, interfere with, exploit, or repurpose the Service in any way. The following activities are explicitly prohibited and constitute a material breach of these Terms:

  • Automated Scraping or Harvesting: You may not use bots, crawlers, scripts, or automated tools to scrape, download, copy, or mirror any data from the LoadFlow API, frontend UI, or documentation.
  • Resale or Redistribution: You may not repackage, resell, sublicense, distribute, or display LoadFlow API results or data feeds, whether directly or through derivative platforms, without explicit written permission.
  • Model Training or Dataset Reuse: You may not use any data from LoadFlow to train or fine-tune machine learning models, AI systems, or language models — including but not limited to LLMs, vector embeddings, or rule-based classifiers.
  • Reverse Engineering or Obfuscation Bypass: You may not attempt to decompile, reverse-engineer, decode, or gain unauthorized insight into LoadFlow’s internal systems, rate-limiting logic, security architecture, or dataset structure.
  • Excessive Use or Abuse: You may not deliberately overload the Service, bypass usage limits, run denial-of-service attacks, flood endpoints with unnecessary requests, or circumvent rate-limiting mechanisms.
  • Use in Prohibited Sectors: You may not use LoadFlow in industries or activities deemed illegal, high-risk, or restricted under U.S. law — including but not limited to arms trafficking, surveillance of civilians, or state-sanctioned censorship.
  • Fake Identities or Fraud: You may not impersonate any person or entity, misrepresent your affiliation, or access the Service using fraudulent credentials or identities.
  • Downstream Leakage: You must not allow LoadFlow data to be exported, cached, or exposed to non-paying users, unauthorized systems, or publicly accessible environments such as GitHub or client-side browsers.
  • Interference with LoadFlow Operations: You may not probe, scan, test, or interfere with any LoadFlow system or infrastructure, including but not limited to its servers, API gateways, databases, or authentication layers.

LoadFlow reserves the right to investigate any suspected violation, suspend API keys, and pursue legal or financial remedies if this policy is violated. We may log abuse attempts and share metadata with law enforcement where appropriate.

6. Plans, Payments & Refunds

Access to the LoadFlow API requires enrollment in a subscription plan ("Plan"). Each Plan specifies usage limits, pricing, included features, and billing intervals. By subscribing, you agree to the following terms:

  • Billing Platform: All payments are processed securely through third-party providers such as Stripe. You authorize LoadFlow and its designated partners to store and charge your payment method in accordance with your selected Plan.
  • Recurring Billing: Subscription fees are billed automatically at the beginning of each billing cycle (monthly or annually, as selected). Unless canceled prior to renewal, your subscription will renew automatically at the then-current rate.
  • Upgrades & Downgrades: Upgrading your Plan will trigger a pro-rated charge or immediate adjustment based on usage and tier pricing. Downgrades may take effect at the end of the current billing cycle, unless otherwise stated.
  • Free Trials: Free trials may be offered at our discretion. If a billing method is required to begin a trial, charges will commence immediately upon expiration of the trial period unless canceled beforehand.
  • Refund Policy: All payments are non-refundable. We do not offer partial refunds, proration, or credit for unused time, unused API calls, or mid-cycle cancellations. You are responsible for canceling your Plan in advance if you do not wish to be billed.
  • Taxes: You are responsible for paying any applicable taxes, duties, or levies imposed by your jurisdiction. We may collect sales tax or VAT where legally required and remit it on your behalf.
  • Disputed Payments: You agree not to initiate chargebacks or payment reversals without first contacting LoadFlow support. Unauthorized chargebacks may result in account suspension and permanent key revocation.
  • Payment Failures: If your payment fails, we may immediately suspend your access to the Service. We reserve the right to retry the charge and notify you via email. Continued failure to pay may lead to account termination.

Your continued use of the API constitutes your agreement to ongoing charges in accordance with your Plan. We reserve the right to modify pricing at any time with reasonable notice.

7. API Usage Limits & Enforcement

LoadFlow subscription plans include clearly defined rate limits and usage quotas. By using the Service, you agree to abide by all published thresholds and enforcement measures, including but not limited to:

  • Request Quotas: Each Plan includes a monthly cap on API requests. This cap is measured using the timestamp and key metadata associated with each request.
  • Burst Rate Limits: In addition to monthly quotas, the Service enforces short-term rate limits to prevent abuse and system overload.
  • Fair Use Clause: You may not attempt to exploit your Plan by batching or parallelizing requests in abnormal ways. We reserve the right to enforce usage fairness.
  • Key Sharing: API keys must not be shared across unrelated clients or systems.
  • Multiple Account Abuse: Creating multiple free/low-tier accounts to bypass limits is prohibited.
  • Monitoring: LoadFlow may log and analyze API patterns to enforce quotas or detect anomalies.
  • Auto-Suspension: Abuse may lead to temporary or permanent key/account suspension.
  • Logs: Metadata such as timestamp, IP, method, endpoint, and key ID are logged for audit and performance purposes.

8. Intellectual Property & User Data Rights

All LoadFlow intellectual property—including code, data, UI, branding, and documentation—remains our exclusive property. Use of the Service does not grant ownership or rights beyond the scope of your Plan.

9. Third-Party Services & Integrations

LoadFlow integrates with third-party providers such as Stripe, Vercel, and DigitalOcean. Use of these services is subject to their terms. We are not liable for interruptions caused by third-party outages.

10. Modifications to the Service

We may update the API, UI, plans, pricing, or other aspects of the Service at any time. We will notify users of material changes via email or dashboard. Continued use after updates constitutes acceptance.

11. Termination & Suspension

We may suspend or terminate accounts for violations, abuse, or non-payment. Termination is at our sole discretion and may occur without prior notice. No refunds will be issued for violations.

12. Data Accuracy, Limitations & Compliance Disclaimer

While LoadFlow aims for accuracy, permit data may be incomplete or vary across jurisdictions. Users are responsible for confirming mission-critical details with official sources. We make no compliance guarantees.

13. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the fees paid by you in the 3 months prior to a claim, or $50, whichever is greater.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of Wyoming, USA. Disputes shall be resolved in courts located in Laramie County. At our discretion, arbitration may be used. Class actions are waived.

15. Changes to These Terms

We may revise these Terms at any time. Updated versions will be posted at /terms. Continued use constitutes acceptance.
