API License Agreement

1. Introduction

This API License Agreement ("Agreement") governs your use of the LoadFlow Logistics API (“LoadFlow API”, "Service", or "Dataset"). By using, integrating, or accessing any endpoint provided by LoadFlow, you agree to be bound by this Agreement in addition to our Terms of Service.

This Agreement applies to all API users, including developers, licensees, customers, partners, resellers, and any party accessing LoadFlow's structured permit regulation data via API or derivative interfaces.

2. License Grant

Subject to your compliance with this Agreement and payment of applicable fees, LoadFlow Logistics LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Access the LoadFlow API using an approved API key
  • Retrieve and display API data for your internal use or for use within your organization
  • Integrate API responses into software tools, dashboards, or logistics workflows solely for internal use or customer-facing tools under your direct control

No ownership or title to the API, data structures, or datasets is transferred to you under this license.

3. Ownership

All rights, title, and interest in and to the LoadFlow API, its underlying datasets, API schema, architecture, documentation, permit rules, tagging system, and all derivative works are and shall remain the exclusive property of LoadFlow Logistics LLC. This includes:

  • All state permit metadata fields and dimensions collected or structured by LoadFlow
  • Field definitions, schema design, tagging conventions, and normalized regulation logic
  • Derived or reformatted summaries of public regulations for API consumption
  • Any enhancements, suggestions, or improvements submitted by users

No rights or licenses are granted to you except those expressly stated in this Agreement. All rights not expressly granted are reserved by LoadFlow.

4. Prohibited Uses

You agree that you shall not, directly or indirectly:

  • Reproduce, republish, redistribute, or repackage any LoadFlow API content for public use
  • Sell, sublicense, lease, or otherwise commercially exploit any part of the API or its data outputs
  • Mirror or cache the dataset for external access outside the scope of your active plan
  • Use LoadFlow API responses to train machine learning models or large language models (LLMs)
  • Create competitive services, aggregators, or clone APIs based on LoadFlow’s structure or dataset
  • Publish LoadFlow dataset fields, rules, or structure on public-facing documentation or data portals

Any unauthorized use of the API or its contents will result in immediate license termination and may trigger legal action or access revocation without refund.

5. Permitted Use Cases

Subject to your subscription tier and compliance with this Agreement, the following use cases are explicitly permitted:

  • Embedding LoadFlow API responses into your internal logistics, routing, or permit planning tools
  • Displaying real-time or on-demand data for end-users via your platform (e.g., freight management dashboard)
  • Building internal analytics, compliance tools, or alerts based on API responses
  • Delivering LoadFlow-powered workflows to your own customers, provided the API is not exposed or white-labeled

These use cases must remain tied to your authorized API key, and all access must originate from your infrastructure. You may not expose the raw dataset or host a derivative version of the LoadFlow API.

6. Caching, Storage & Data Handling

You may store LoadFlow API responses temporarily in your application’s memory or secure short-term cache for performance or continuity purposes. However, the following restrictions apply:

  • You may not create a persistent copy of the dataset, in whole or in part, beyond 30 days unless permitted in writing
  • You may not serve cached content to non-paying customers or downstream users outside your organization
  • Long-term storage, archiving, or re-indexing of API data is prohibited without a custom license
  • All cached or stored API data must be deleted upon plan downgrade, key revocation, or termination

LoadFlow reserves the right to audit, limit, or revoke your caching behavior if your usage exceeds what is typical or fair under your current plan.

7. Attribution Requirements

Attribution is not required for standard commercial usage of LoadFlow data unless otherwise specified by your plan tier. However, if you use LoadFlow data publicly or embed responses in a publicly accessible application, dashboard, or document, the following applies:

  • You must include visible text attribution: “Powered by LoadFlow Logistics”
  • You may not alter, remove, or misrepresent the source of LoadFlow content
  • If a LoadFlow logo is displayed, it must not be modified, distorted, or used without permission outside our visual guidelines

LoadFlow reserves the right to require attribution on a per-integration basis, particularly for publicly visible tools, reports, or applications using our data at scale.

8. White-Labeling & Proxying Prohibited

You may not rebrand, resell, or rehost LoadFlow API responses in a manner that obscures LoadFlow as the original data provider. Specifically, you may not:

  • Proxy LoadFlow API requests through your own endpoint and present it as a proprietary API
  • Mask or alter field names, state identifiers, or source disclaimers to imply proprietary ownership
  • Expose LoadFlow datasets as part of an open data project or searchable database under your name
  • Bundle LoadFlow results into client-facing products labeled as your own source

All integrations must preserve the integrity of LoadFlow’s identity and dataset. If you require a white-label or rebranding license, you must contact us in advance to negotiate a separate agreement.

9. Multi-Tenant Access & Key Assignment

Each API key issued by LoadFlow is intended for use by a single organization or end customer. You may not:

  • Use one key to serve requests from multiple client entities or independent users
  • Allow external contractors, vendors, or partners to access LoadFlow API outside your infrastructure without prior authorization
  • Distribute API keys publicly or embed them in frontend code, GitHub repositories, or unsecured environments

If you operate a platform that serves multiple downstream customers or business units, you must obtain a commercial redistribution license or enterprise plan from LoadFlow.

10. Revocation of License

LoadFlow may revoke your API license, suspend API access, or terminate your account at any time, with or without notice, for any of the following reasons:

  • Violation of this API License Agreement or our Terms of Service
  • Detection of misuse, quota circumvention, scraping, or abuse
  • Failure to pay subscription fees or disputed payment activity
  • Key leakage, embedding in public repositories, or failure to secure credentials
  • Activity deemed hostile, unauthorized, or competitive

Upon license revocation, you must immediately cease accessing the API, delete all stored API data, and discontinue distribution of LoadFlow content in any application, dashboard, or interface.

No refund or proration will be issued for revoked access due to license violations.

11. Fair Use Enforcement

LoadFlow enforces usage limits and behavior patterns aligned with your subscription tier and industry norms. You acknowledge and agree that:

  • LoadFlow may log API request metadata, including origin IP, method, headers, and response status
  • We may perform automated or manual audits of your traffic to verify compliance
  • We may throttle, block, or temporarily suspend your access if we detect behavior inconsistent with your plan
  • We may introduce new rate limits or enforcement logic without prior notice

Examples of unacceptable usage include:

  • High-frequency polling, especially from multiple concurrent users on a basic plan
  • Attempting to mirror the dataset by crawling endpoints in sequence
  • Distributing keys across internal microservices in a way that simulates concurrent tenants

LoadFlow will use commercially reasonable judgment in determining whether usage patterns constitute abuse or require remediation. We may offer upgrade options or guidance before enforcing penalties.

12. Updates to License Terms

LoadFlow reserves the right to revise this API License Agreement at any time, at our sole discretion. We may update this document to reflect changes in:

  • Our API features, capabilities, or usage tiers
  • Industry legal standards or platform distribution terms (e.g., RapidAPI)
  • Security requirements, storage limits, or branding guidelines

When updates are made, we will revise the “Last Updated” date at the top of this page. Material changes may also be communicated via dashboard banner, email, or support documentation.

Continued use of the LoadFlow API after any changes to this license constitutes your binding acceptance of the updated terms.

13. Limitation of Liability

To the fullest extent permitted by law, LoadFlow Logistics LLC shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

  • Loss of profits, revenue, business opportunity, or data
  • Downtime, disruption, or lost access to LoadFlow API or platform
  • Delays in shipment, routing, or logistics resulting from outdated or inaccurate data
  • Any damages resulting from third-party integrations or misuse of LoadFlow content

LoadFlow’s total cumulative liability for all claims arising under this Agreement shall not exceed the amount paid by you to LoadFlow in the three (3) months preceding the incident giving rise to the claim, or fifty U.S. dollars ($50), whichever is greater.

These limitations apply regardless of the legal theory invoked and even if LoadFlow was advised of the possibility of such damages. Some jurisdictions do not allow certain liability exclusions; in such cases, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless LoadFlow Logistics LLC and its officers, directors, contractors, affiliates, and agents from and against any and all claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the API
  • Your breach of this API License Agreement or any applicable law
  • Infringement or misappropriation of any third-party rights by your implementation
  • Your redistribution, exposure, or unauthorized publication of LoadFlow data

LoadFlow reserves the right to assume the exclusive defense and control of any matter otherwise subject to your indemnification, at your expense, and you agree to cooperate in such defense if requested.

15. Termination of License

This API License Agreement is effective from the date you first access the LoadFlow API and remains in effect until terminated by either party. LoadFlow may terminate this license immediately and without notice if:

  • You breach any provision of this Agreement or our Terms of Service
  • Your account is suspended, deactivated, or deleted
  • We determine your usage threatens the security, performance, or legal standing of our platform
  • You fail to pay applicable fees or abuse your plan privileges

Upon termination, you must immediately:

  • Cease all API requests and disable all integrations relying on LoadFlow
  • Delete all locally stored or cached data obtained through the LoadFlow API
  • Remove any references to LoadFlow in public-facing applications, documentation, or dashboards

Termination does not relieve you of the obligation to pay any accrued fees or liabilities, nor does it limit LoadFlow’s right to seek remedies for violations occurring before termination.

16. Confidentiality of API Access

You agree to maintain the confidentiality of any API credentials, access tokens, or authentication mechanisms provided to you by LoadFlow. Specifically:

  • You must not share your API key(s) with unauthorized personnel, users, or systems
  • You must not embed keys in publicly accessible code repositories (e.g., GitHub, CodePen, JSFiddle)
  • You must not expose LoadFlow integration tokens in frontend JavaScript or browser-accessible code
  • You must implement reasonable technical controls to safeguard your credentials

You are solely responsible for all activity conducted through your API key. If your key is compromised, you must notify LoadFlow immediately so we can revoke and reissue access credentials.

17. Feedback and Improvement Suggestions

We welcome feedback, feature suggestions, and usability reports related to the LoadFlow API. By submitting any such feedback — whether via email, support ticket, dashboard input, or other channels — you agree that:

  • Any submitted ideas, designs, text, code, or proposals are voluntarily provided without expectation of compensation
  • LoadFlow is free to use, disclose, reproduce, modify, license, distribute, and commercialize such submissions without restriction
  • All feedback becomes the sole and exclusive property of LoadFlow Logistics LLC

This clause helps us iterate and improve the platform faster, while ensuring clarity around rights to enhancements.

18. Governing Law & Jurisdiction

This API License Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of laws principles.

Any disputes arising from or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Laramie County, Wyoming. You consent to the personal jurisdiction of these courts and waive any objections based on venue or inconvenience.

If LoadFlow elects to enforce this Agreement through arbitration, such proceedings shall be conducted under the Commercial Rules of the American Arbitration Association (AAA), in English, with one arbitrator seated in Wyoming. The prevailing party shall be entitled to recover legal fees.
